By accessing or using the services provided by Denvista A.I. Powered Solutions ("Denvista" or "Company"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

Denvista provides AI-driven appointment scheduling, FAQ handling, website design, CRM integrations (e.g., GoHighLevel, Twilio, Calendly), and analytics dashboards.
4. Eligibility & Account Registration
Users must be at least 18 years old and have legal capacity. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.
5. Subscription Plans, Fees & Billing
Plans: Various tiers with specified features and Credits.
Billing Cycle: Monthly or annual; annual Subscriptions include two (2) complimentary months.
Auto‑Renewal: Subscriptions renew automatically unless canceled at least five (5) days before the renewal date.
Credits Reset: All unused Credits expire at the end of each billing cycle; no rollover.
Taxes & Fees: Users are responsible for applicable taxes and any late-payment fees.
6. User Obligations & Acceptable Use
Users shall not:
- Abuse, reverse-engineer, or interfere with the Services.
- Transmit spam, malicious code, or infringing content.
- Violate applicable laws.
- Share Account credentials; promptly notify Denvista of any unauthorized use.
7. AI-Generated Content Disclaimer
AI outputs are provided "as is." Denvista does not warrant accuracy or completeness. Users are solely responsible for verifying and using content in their business context.
8. Intellectual Property & License Grant
Denvista and its licensors retain all rights, title, and interest in the Services and underlying technology. Users are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
9. Feedback & Improvements
Any feedback, suggestions, or ideas submitted become Denvista's exclusive property and may be used without compensation.
10. Customer Data & Privacy
User data is processed in accordance with our Privacy Policy. Denvista may use aggregated, anonymized data to improve Services.
11. Third-Party Integrations
Denvista integrates with third-party providers (e.g., GoHighLevel, VoIP.ms, Calendly). Denvista is not liable for any provider's performance or downtime.
12. Support & Service Levels
Denvista offers support via email and chat. Denvista will use commercially reasonable efforts to maintain 99.9% uptime, excluding maintenance and Force Majeure events.
13. Termination & Suspension
Denvista may suspend or terminate Accounts for non-payment, breach of Terms, or illegal activity. Upon termination, User access ends, and Denvista may delete or anonymize User data per the Privacy Policy.
14. Refund & Cancellation Policy
Cancellations take effect at the end of the current billing cycle. Refunds, if any, are at Denvista's sole discretion and subject to written request within thirty (30) days of billing.
15. Warranty Disclaimers
The Services are provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise, including fitness for a particular purpose.
16. Limitation of Liability
To the maximum extent permitted by law, Denvista's total liability arising out of or relating to these Terms shall not exceed the fees paid by User in the twelve (12) months preceding the claim. Denvista is not liable for indirect, special, incidental, or consequential damages.
17. Indemnification
Users agree to indemnify and hold harmless Denvista and its officers, directors, and employees from any claims, liabilities, damages, or expenses arising out of User's misuse of the Services or violation of these Terms.
18. Force Majeure
Denvista is not liable for delays or failures due to events beyond its reasonable control, including natural disasters, cyberattacks, or third-party outages.
19. Governing Law & Dispute Resolution
These Terms are governed by California law. Disputes shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.
20. Modifications to Terms
Denvista may update these Terms at any time. Continued use of the Services after notice constitutes acceptance of the updated Terms.
