Denvista provides comprehensive AI-powered business solutions including:
- AI virtual receptionist (24/7 phone answering, appointment booking, lead qualification)
- Professional website design and hosting with 99.9% uptime guarantee
- AI-powered email and SMS automation
- Live chat and website chatbots
- CRM integrations (GoHighLevel, Twilio, Calendly, and others)
- SEO optimization with daily site audits
- Social media posting and management (5 platforms)
- Facebook Ad Manager and campaign optimization
- Reputation management and review collection
- WhatsApp business integration
- Analytics dashboards and weekly reports
- Mobile application access
- QR code generation
- Online store integration
- Lead capture forms and funnel building
- AI content generation
- Email marketing systems
- Data migration services
4. Eligibility & Account Registration
Users must be at least 18 years old and have legal capacity. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.
5. Subscription Plans, Fees & Billing
Available Plans:
- Essential Plan: $297/month
- AI-Powered Plan: $597/month
- Enterprise Plan: $997/month
Billing Cycle: Monthly or annual; annual Subscriptions receive two (2) complimentary months.
Billing Schedule: Immediate charge upon subscription, then automatic monthly billing on the same calendar day.
Auto‑Renewal: Subscriptions renew automatically with no contracts; Users may cancel at any time.
Upgrades: Plan upgrades are prorated for the remainder of the current billing cycle.
Credits System: AI features consume Credits; unused Credits expire at billing cycle end with no rollover.
Additional Credits: Users may purchase credit packs if monthly allotment is exhausted.
Taxes & Fees: Users are responsible for applicable taxes and any late-payment fees.
6. Credits System & Usage
Credit Consumption: AI-powered features consume Credits based on usage, including virtual receptionist interactions, automated emails/SMS, content generation, and other AI services.
Credit Exhaustion: When monthly Credits are depleted, AI-driven services will pause until the next billing cycle. Core services including website hosting, basic functionality, and account access remain active.
Additional Credits: Users may purchase supplemental credit packs at any time to restore AI functionality before the next billing cycle.
Credit Allocation: Each Subscription plan includes a specified monthly Credit allowance that resets at the beginning of each billing period.
7. User Obligations & Acceptable Use
Users shall not:
- Abuse, reverse-engineer, or interfere with the Services.
- Transmit spam, malicious code, or infringing content.
- Violate applicable laws.
- Share Account credentials; promptly notify Denvista of any unauthorized use.
8. AI-Generated Content Disclaimer
AI outputs are provided "as is." Denvista does not warrant accuracy or completeness. Users are solely responsible for verifying and using content in their business context.
9. Intellectual Property & License Grant
Denvista and its licensors retain all rights, title, and interest in the Services and underlying technology. Users are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
10. Feedback & Improvements
Any feedback, suggestions, or ideas submitted become Denvista's exclusive property and may be used without compensation.
11. Customer Data & Privacy
User data is processed in accordance with our Privacy Policy and enterprise-grade security measures including end-to-end encryption, GDPR compliance, and 24/7 security monitoring. Denvista may use aggregated, anonymized data to improve Services.
12. Third-Party Integrations
Denvista integrates with numerous third-party providers including GoHighLevel, VoIP.ms, Calendly, Twilio, and other business tools. Denvista is not liable for any third-party provider's performance, downtime, or service interruptions.
13. Support & Service Levels
Denvista offers 24/7 support via live chat, email, and phone at (310) 405-0123. Denvista will use commercially reasonable efforts to maintain 99.9% uptime for hosting services, excluding scheduled maintenance and Force Majeure events. All websites include free SSL certificates and automatic backups.
14. Account Management & Service Guarantee
Monthly Service Commitment: Denvista guarantees dedicated account management and optimization work based on your Subscription plan at $50 per hour professional service rate:
- Essential Plan: 4 hours per month ($200 value)
- AI-Powered Plan: 8 hours per month ($400 value)
- Enterprise Plan: 12 hours per month ($600 value)
Included Services: This commitment covers platform optimization, account setup and configuration, technical support, performance monitoring, content updates, automation refinement, and strategic consultation.
Service Tracking: Time allocation and completed work will be documented and available for review upon request. Any unused guaranteed hours do not roll over to subsequent billing periods.
Additional Work: Services exceeding the monthly guarantee may be provided at Denvista's discretion based on account needs and available resources.
15. Data Migration & Onboarding
Denvista provides complimentary data migration services for website content, contact lists, and related assets. Our team handles technical setup, domain connection, and platform configuration to ensure seamless transition and preservation of SEO settings.
16. Termination & Suspension
Denvista may suspend or terminate Accounts for non-payment, breach of Terms, or illegal activity. Upon termination, User access ends immediately, and Denvista retains all User data, website files, and account settings for sixty (60) days to allow for data download or account restoration, after which data may be deleted or anonymized per the Privacy Policy.
17. Refund & Cancellation Policy
Subscriptions may be canceled at any time with no contracts or cancellation fees. Cancellations take effect at the end of the current billing cycle. Refunds, if any, are at Denvista's sole discretion and subject to written request within thirty (30) days of billing.
18. Warranty Disclaimers
The Services are provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise, including fitness for a particular purpose.
19. Limitation of Liability
To the maximum extent permitted by law, Denvista's total liability arising out of or relating to these Terms shall not exceed the fees paid by User in the twelve (12) months preceding the claim. Denvista is not liable for indirect, special, incidental, or consequential damages.
20. Indemnification
Users agree to indemnify and hold harmless Denvista and its officers, directors, and employees from any claims, liabilities, damages, or expenses arising out of User's misuse of the Services or violation of these Terms.
21. Force Majeure
Denvista is not liable for delays or failures due to events beyond its reasonable control, including natural disasters, cyberattacks, or third-party outages.
22. Governing Law & Dispute Resolution
These Terms are governed by California law. Disputes shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.
23. Modifications to Terms
Denvista may update these Terms at any time. Continued use of the Services after notice constitutes acceptance of the updated Terms.
